CONSTITUTION AND BY-LAWS

Article 1. NAME

Section 1. This organization shall be known as Long Lake Bass Club.

Article 2. PURPOSE

Section 1. The purpose for which this organization has been formed is to actively protect and enhance all warm water fish and the waters in which they reside.

Section 2. To assist in the observance and enforcement of state fish and game laws as prescribed by the Department of Fish and Wildlife.

Section 3. To cooperate to the fullest measure with other sportsmen groups interested in the conservation of game fish and the waters in which the reside.

Section 4. To support all Washington State Federation policies and goals.

Section 5. To fight pollution and habitat decline in all waters in Washington State.

Section 6. To strive for public education in the conservation of all warm water fish.

Section 7. To promote friendly sportsmanship and family fellowship.

Article 3. MEMBERSHIP

Section 1. This organization shall maintain a minimum of at least six (6) paid members to remain incorporated.

Section 2. The membership in this organization shall be open to all persons interested in fishing, the conservation of game fish, the enhancement of game fish; and the waters in which they reside.

Section 3. Initial applicants desiring membership in this organization shall complete a written application for membership and attend at least one (1) regular club meeting for member benefits to begin.

Section 4. Any person who has intentionally violated any of the goals as listed under ARTICLE 2 of this Constitution and By-laws, may be denied initial or continued membership in this organization. See ARTICLE 9 Section 3.

Article 4. FEES AND DUES

Section 1. Club dues shall be $50.00 for an individual membership and $55.00 for a family membership. Break down of dues are as follows; $15.00 to the Washington State Federation, $15.00 to The Bass Federation Inc. (TBF), and $20.00 or $25.00 to the Long Lake Bass Club. Members in good standing must also be members of FLW (Note: It is the responsibility of each individual to maintain his/her membership in FLW). Both individual and family memberships are for a duration of one (1) year beginning on January 1st and ending December 31st, a one year period, both dates inclusive. A family consists of all members of one household.

Section 2. Members shall pay their dues annually. Club dues shall be due by December 1st for the next calendar year. Unpaid dues shall be delinquent the day following the February meeting. At which time all member benefits will be suspended.

Section 3. For a new member joining after October 31st, dues paid will cover thru December 31st of the following year.

Article 5. MEMBERS IN GOOD STANDING

Section 1. Members who are in compliance with ARTICLE 3 and ARTICLE 4 of this Constitution and By- laws, and are a current member of FLW and have not intentionally violated this organizations purpose as defined in ARTICLE 2 shall be considered a Member in Good Standing.

Article 6. VOTING

Section 1. Voting rights shall be for Members in Good Standing as described in ARTICLE 5 of this Constitution and By-laws.

Section 2. Membership voting shall be during regular club meetings of this organization.

Section 3. Each paid individual membership or family membership shall have one (1) membership vote.

Article 7. OFFICERS

Section 1. The officers of this organization shall consist of a President, a Vice-President, a Secretary, and a Treasurer. Term of office shall be from the regular January club meeting to the end of the following regular December club meeting. A one (1) year term of office.

Section 2. The President shall attend, or appoint a delegate to attend all State meetings. (Note: Failure to attend a State Meeting will result in a $50.00 fine for the club to go to the State Federation.). The President shall appoint committee chairpersons as deemed necessary to conduct club business. The President shall preside over all club business, club officers and chairpersons. The President shall not have motion privileges during regular meetings of this organization.

Section 3. In the event of the loss of the President, the Vice-President shall assume the office of the President and an election will be held to fill the vacant office of the Vice-President at the next regular meeting of this organization.

Section 4. The Vice-President shall assist the President in his duties and preside in the absence of the President. The Vice-President shall be in charge of the Fish of the Month Competition, Club Member of the Year Competition, and membership attendance during regular club meetings.

Section 5. In the event of the loss of the Vice-President , an election shall be held to fill the vacant office of the Vice-President at the next regular meeting.

Section 6. The Treasurer shall receive from the Secretary all moneys for deposit and maintain all financial club records. The Treasurer shall have authority to pay club bills less than $50.00 and shall not disburse any funds over $50.00 without the Presidents authorization, or in his absence the Vice- President authorization. The Treasurer shall make available to the Board of Directors a record of all funds for audit when requested.

Section 7. In the event of the loss of the Treasurer, the President shall assume the responsibility of the Treasurer until an election can be held to fill the vacant office of Treasurer at the next regular meeting of this organization.

Section 8. The Secretary shall keep minutes of all regular meetings of this organization, and present at the next regular club meeting for approval by membership. The Secretary shall keep current paid membership rosters and insure timely payments to the State and National TBF organizations for each paid member. The Secretary shall collect all dues and fees of members and all other funds due this organization and transfer such moneys to the Treasurer for deposit.. The Secretary shall make available to the Board of Directors a record of all funds for audit when requested.

Section 9. In the event of the loss of the Secretary, an election shall be held to fill the vacant office of Secretary at the next regular meeting of this organization.

Section 10. Nominees of all offices shall be members in good standing within this organization.

Article 8. IMPEACHMENT OR RESIGNATION OF OFFICERS

Section 1. The impeachment or subsequent removal from office of any officer shall be by a recommendation from the Board of Directors and approved by a majority vote of the general membership.

Section 2. Officer resignation shall be in writing and presented to a member of the Board of Directors. In the event of a Presidential resignation, the Vice-President shall assume the office of President and an election shall be held to fill the office of Vice-President.

Article 9. BOARD OF DIRECTORS

Section 1. The Board of Directors shall consist of the current President, Vice-President, Tournament Director, and four (4) members from the general membership. All terms of appointment shall begin at the regular January meeting and end the following December meeting of said Board Members term of appointment.

Section 2. The incoming elected President shall nominate four (4) Board of Director members.

Section 3. The Board of Directors shall have the power to drop any member from membership by a simple majority vote.

Section 4. Five (5) Board Members present at special meetings of this organization shall constitute a quorum for transaction of business. In case of a six (6) member Board meeting the President shall abstain from voting. As a minimum the Board will hold one meeting in February to review the constitution and by-laws, and one meeting prior to the September meeting to review tournament lakes. The Board of Directors must audit the Treasurer/Secretary annually and prior to assignment of a new Treasurer/Secretary.

Section 5. The nominees for Board of Directors shall be members in good standing within this organization.

Article 10. APPOINTED CHAIRS

Section 1. Appointed Chairpersons shall be nominated by the incoming elected President and approved by a majority vote of general membership.

Section 2. Appointed Chairpersons shall have a term of one (1) year beginning at the regular January club meeting and ending the following regular December club meeting, a one (1) year term.

Section 3. Appointed Chairpersons shall consist of , but not be limited to, a Raffle Chairperson, a Trophy Chairperson, a Tournament Director, an Environmental Chairperson, a New Member Chairperson, a Youth Chairperson, a Special Projects Chairperson, a Website Chairperson, or any other committee chairpersons the president or board of directors deems necessary.

Section 4. The Raffle Chairperson shall be responsible for all raffle business. They shall ensure that a raffle is conducted at, but not be limited to, all regular meetings of this organization.

Section 5. In the event of the absence of the Raffle Chairperson from a regular meeting of this organization, the Raffle Chairperson shall appoint a replacement Raffle Chairperson for the meeting of his absence.

Section 6. The Trophy Chairperson shall be responsible for ordering and purchasing all trophy items for monthly tournament winners up to three (3) places'. Angler of the Year, Fish of the Month, Club Member of the Year, Club Sportsperson of the Year, and any trophy that the President may deem necessary.

Section 7. The Special Project Chairperson shall be responsible for organizing all club functions as directed by the President.

Section 8. The Environmental Chairperson shall keep the President and general membership updated on matters dealing with our environment and all matters that may pertain to the purpose for which this organization has been formed.

Section 9. The New Member Chairperson shall greet all prospective new member at their first meeting. Explain what the club is about. The New Member Chairperson shall prepare all new member welcome packs (at least six (6) should be kept on hand at all times). When notified by the club Secretary that the new member has paid his/her dues, the New Member Chairperson shall present the new member with the club welcome pack.

Section 10. The Tournament Director Chairperson shall be responsible for all tournament functions of this organization. He/she shall obtain tournament permits from the Department of Fish and Wildlife, Coast Guard, or other agencies as required for conducting organized fishing tournaments. Complete post tournament surveys as required by the Department of Fish and Wildlife in a timely manner. The Tournament Director shall ensure proper education of tournament rules, local fish and game laws and tournament safety. The Tournament Director shall conduct the weighing of all fish at all tournaments. The Tournament Director shall have the authority to appoint a fellow member to assist in the weighing of the fish and to act as a witness to the weight of the fish. The Tournament Director shall be responsible for Anglers of the Year, largest Largemouth and Smallmouth of the year, and Rookie of the year records.

Section 11. In case of the absence of the Tournament Director from a tournament, the Tournament Director shall appoint a replacement Director for the tournament of their absence.

Section 12. The youth Chairperson shall be responsible for all youth oriented projects (4H camp, casting for kids, fishing kids, or any other youth events involving Long Lake Bass Club. He/she shall keep the president and general membership updated on all matters dealing with current, planned, and future projects.

Section 13. The Website Chairperson shall be responsible for maintaining and updating of the Long Lake Bass Club Website.

Section 14. Removal of an appointed Chairperson from and appointed chair shall be by a recommendation from the Board of Directors and approved by a majority vote of general membership.

Section 15. Resignation of an appointed Chairperson shall be presented to the President.

Article 11. REGULAR MEETINGS

Section 1. Meetings of this organization shall be held twelve (12) times a year. November thru February meetings will be held on designated Saturdays at one o-clock(1:00) P.M. March thru October meetings will be on the third Tuesday of the month at seven o-clock (7:00) P.M. Meeting location will be designated by membership.

Section 2. Six (6) members present during regular meetings shall constitute a quorum for the transaction of business.

Section 3. Annual elections of club officers shall be held at the regular November club meeting. Board of Directors and Chairpersons shall be selected and approved no later than the February meeting. Revised March 2007

Section 4. Annual tournament lake selections shall be held at the regular August meeting. Initial lake selections will be picked by the general membership. The Board of Directors will assemble lakes and dates and present to the general membership at the September meeting for approval.

Section 5. The Annual club Christmas party and awards presentation shall be held in conjunction with the regular December club meeting.

Article 12. SPECIAL MEETINGS OF THE BOARD OF DIRECTORS

Section 1. Special meetings of this organization can be called by the club President, a Board of Director member or by written request from a club member.

Article 13. TOURNAMENTS

Section 1. Prior to tournament fishing all boat owners are required to maintain a minimum of $300,000 liability insurance, as required by FLW. A copy of your insurance coverage must be turned in to the Tournament Director.

Section 2. Consumption of alcoholic beverages during tournament hours will not be allowed.

Section 3. Starting locations, shall be established at the regular club meeting prior to all club tournaments by the Tournament Director. Club membership shall also be notified via Website prior to all tournaments.

Section 4. Starts will be determined by the Tournament Director. One (1) day tournaments will be from (6:00 AM to 2:00 PM). Two (2) day tournaments will be from (6:00 AM to 4:00 PM) on Saturday, and from (6:00 AM to 1:00 PM) on Sunday. Tournaments shall only be delayed or canceled by the Tournament Director.

Section 5. U.S. Coast Guard approved flotation devices must be on board all boats. "IT IS MANDATORY" that they be worn while running internal combustion engines. Tournament participants will be required to meet all state and county boating regulations.

Section 6. All club activities and tournaments will be held in strict compliance with Washington State fishing regulations and possession and catch limits.

Section 7. Fish must be caught in a conventional and sporting manner and only on artificial baits.

Section 8. Any Largemouth or Smallmouth bass will be considered a legal bass for club weigh-in: (No minimum or maximum size requirements). More than five (5) fish per contestant at weigh-in will result in disqualification.

Section 9. Each boat must be equipped with a live well and functional aerating system adequate for keeping all fish alive for the entire tournament.

Section 10. Any member weighing in a dead fish will be penalized 4 oz. per dead fish.

Section 11. A penalty of one (1) pound will be assessed for each minute a contestant is late for weigh-in.

Section 12. Participants and guests shall register with the Tournament Director prior to each tournament or be inspected by a club member prior to fishing.

Section 13. Total weight will determine your tournament placement. In the event of a tie in total weight, the member with the largest fish (by weight) shall be declared the winner.

Section 14. All protests must be submitted in writing to the Tournament Director or a club officer within seventy two (72) hours after the completion of the tournament for Board of Director review.

Section 15. Fish shall only be weighed on approved Tournament Director scales.

Section 16. All Long Lake Bass Club tournaments will have two (2) divisions. At the beginning of the year each member would have to decide if they wanted to be in the boater or the non boater division. A non boater could move the points they earned into the boater division (if they were to buy a boat) but a boater could never move the points they earned into the non- boater division. If two boaters fished out of the same boat no one would be a non boater. They would still both be considered boaters. If a boater was to allow the non-boater the front of the boat for what ever reason this doesn't remove the non-boater from the non-boater division. With the winners of both divisions receiving an angler of the year shirt as a prize. With a first, second and third place awards for both divisions for each tournament. Revised March 2007.

Section 17. Courtesy with regard to fishing space will be observed at all times.

Section 18. The Board of Directors shall have authority to disqualify any member found in violation of stated tournament rules.

Section 19. Guests of Members in Good Standings (see Article 5) may fish club tournaments. These guests are not eligible for any points or awards. The conduct and safety of these guests is the responsibility of the host member.

Article 14. FISH OF THE MONTH (Non tournament fish only)

Section 1. A member may only win one (1) of five (5) positions for any given month. Members may improve their position by catching a larger fish later in the same month, but must relinquish their previous position. I.E. - A member may not win 1st, 2nd, 3rd, place in the same month.

Section 2. Points for Fish of the Month will be awarded as follows:

1st Place 5 points

2nd Place 4 points

3rd Place 3 points

4th Place 2 points

5th Place 1 point

Section 3. The Vice-President shall be in charge of the Fish of the Month competition. It shall be the responsibility of the entrant to forward completed fish of the month form to the Vice-President by the meeting of the following month that the fish was caught in order to qualify. I.E. A fish that was caught in April must be reported to the Vice-President by the May meeting. Exception: November fish must be reported by November 30th.

Section 4. Fish caught during tournaments do not qualify for Fish of the Month.

Section 5. Only Largemouth or Smallmouth Bass shall qualify for Fish of the Month.

Section 6. Fish must be caught in a convection and sporting manner and only on artificial baits.

Section 7. Fish must be caught within the state of Washington.

Section 8. The time period for fish of the month shall be from January 1st to November 30th. Both dates inclusive.

Section 9. In the case of a tie for any given month, total length shall determine the winner.

Section 10. An award will be given to the winner of the Fish of the Month competition at the annual December awards presentation. Most accumulated points for the one (1) year period shall determine the winner.

Article 15. LARGEST LARGEMOUTH AND LARGEST SMALLMOUTH BASS OF THE YEAR.

Section 1. Only bass caught during official club and state sponsored Jamboree and Scholarship tournaments qualify for largest Largemouth and largest Smallmouth of the year.

Section 2. The Tournament Director will keep all records from club tournaments , and will only accept official weigh-in slips from state sponsored Jamboree and Scholarship tournaments.

Section 3. The member with the largest (by weight) Largemouth bass by November 30th shall be declared the winner and presented with the revolving Largest Largemouth Bass of the Year trophy at the annual December awards presentation.

Section 4. The member with the largest (by weight) Smallmouth Bass by November 30th shall be declared the winner and presented with the revolving Largest Smallmouth Bass of the Year trophy at the annual December awards presentation.

Section 5. In case of a tie total length shall determine the winner.

Article 16. ANGLER OF THE YEAR THREE (3) DIVISIONS (Male, Female, and Jr.)

Section 1. Winners in each division will be determined by total weight of fish caught in Long Lake tournaments. Points will be awarded as follows: One (1) point per ounce for each qualifying fish, minus any penalties.

Section 2. The Tournament Director shall be in charge of the Angler of the Year competition.

Section 3. In case of a tie in points, largest fish caught during the competition period shall determine the winner.

Section 4. The member with the highest total of points in each division at the end of the tournament year shall be declared the winner of Angler of the Year.

Article 17. CLUB MEMBER OF THE YEAR

Section 1. Points for Club Member of the Year will be awarded as follows:

Website Chairperson 35 points

Tournament Director 35 points

Environmental Chairperson 30 points

New Member Chairperson 30 points

Section 2. The time period for the Club Member of the Year shall be from January 1st to November 30th, both dates inclusive.

Section 3. The Vice-President shall be in charge of Club Member of the Year competition.

Section 4. It shall be the responsibility of the entrant to forward information of importance to the Vice- President by the meeting of the following month that the qualification took place. I.E. if a member attended a State meeting in March, the member must contact the Vice-President by the April meeting. Exception: November qualifications must be reported by November 30th.

Section 5. The member with the highest accumulated points by November 30th, will be designated as winner and a plaque shall be awarded to the member at the annual December awards presentation.

Article 18. LONG LAKE BASS CLUB SPORTSPERSON OF THE YEAR

Section 1. The Sportsperson of the Year recipient shall be nominated by general membership and awarded at the December awards presentation.

Section 2. The time period for Sportsperson of the Year shall be from January 1st to November 30th, both dates inclusive.

Article 19. ROOKIE OF THE YEAR

Section 1. Only new members, first year membership may qualify. First year membership is defined as a full calendar year starting with the 1st tournament of the year.

Section 2. The Rookie of the Year with the highest total points in official club tournaments at the end of the tournament year will be declared the winner.

Section 3. The tournament director will be responsible for Rookie of the Year records.

Section 4. The winner shall receive an award at the annual December awards presentation.

Article 20. STATE QUALIFIER EVENTS

Section 1. All members in good standing as stated in article (5) of this constitution and by-laws are eligible to compete in State Qualifying events.

Section 2. Members must apply in pairs (boater and non-boater) and must meet all application, safety equipment , and insurance requirements.

Section 3. The top twelve (12) in state qualifying events will advance to regional competition.

Section 4. The state team members representing Long Lake Bass Club shall be composed of the top ten (10) anglers desiring to participate from previous year club tournaments standings. The top five (5) have first option as boaters.

Article 21. DISSOLUTION

Section 1. In the event of dissolution of this organization, the net assets are to be distributed as follows; all real property, if any, is to be donated to the Washington State Federation. All currency, if any, is to be donated to Washington State Scholarship Fund. In the case of a prior dissolution of The State Federation., all currency and real property, if any, shall be donated to a statewide organization with similar goals as stated in this Constitution of Long Lake Bass Club.

Article 22. AMENDMENTS

Section 1. This Constitution and By-Laws may be amended in part by the following procedures;

(A). Motion made, seconded, and discussion held at one meeting.

(B). Vote held at the following monthly meeting.
